The Job

RESPONSIBILITIES

** Purpose of Role:
• To identify any strategic and operational legal risks for the company and to proactively implement processes and procedures to effectively mitigate them.
• Provide analysis and counsel on legal issues to Board/Exco and senior management

** Specific key Responsibilities
• Responsible for developing and regularly updating a Legal Risk register for Company
• Develop, implement and regularly update legal services process within the company.
• Develop and implement an effective contract management process
• Responsible for providing legal counsel
• Responsible for providing analysis and counsel on legal services
• Act on behalf of the company to manage any legal cases
• Manage relationship of external legal firms and with other Company affiliates
• Manage and develop the legal Corporate Governance in Vietnam

** Expected outcomes
• Communicate regularly to the EXCO and Board of Directors and to provide education on the Vietnam legal environment as necessary to the members of the EXCO/Board of Directors.
• This will include but not limited to, setting up of legal procedures, training employees on legal procedures and providing regular communication updates to FD/EXCO on any key legal issues.
• Including contract register, contract templates, contract filing and contract status reporting system.
• Across Company legal entities in Vietnam, within all functions (commercial law, labour law, criminal law, trademarks management, export affairs with legal impact) and projects requiring legal services.
• Include but not limited to: proposed new products, protecting intellectual property, mergers & acquisitions, financial offerings, financial structuring, securities, non-disclosure agreements, outsourcing agreements and business strategic planning.
• Include but not limited to: litigation, enforcement of claims, ensure proper representation on behalf of company at Courts, in arbitration conflicts, in front of the Police etc.
• Ensure Company receive the highest standard legal advice. This will include but not be limited to: recommendation of approved external legal firms, setting up of contracts according to chart of authority and management of relationship to ensure excellent quality, timeliness and cost effective services are provided.
• Include but not limited to: keeping historical documents relating to Board of Director meetings and the Board members, preparing and filing of any board resolutions, preparing and filing of key company documents (Articles of Association, shareholder agreements and certificates etc)

Requirements

- Master degree in Law (preferably Economic Law and Enterprise Law)
- Legal practice experience, including court procedures, local legislation (preferably also international law)
- Good commercial business understanding.
- At least 2 years of management experience in Legal services management position in a foreign owned company (preferably FMCG).
- Proactive and can-do attitude
- Good oral and written English and Vietnamese
- Good, communication, negotiation and time management skills
- Ability to work independently and as part of a team
- Project management skills
- Professional work approach.
- Trustworthy and necessity to keep information confidential.
- Some travelling may be required but this will be limited.
