The Job

RESPONSIBILITIES

1. Manage legal advice on business activities
• Monitor and update legal documentation and statutory returns to regulators
• Conduct legal review and negotiations in commercial and customer agreements
• Develop and review legal documentation including standard terms & conditions for existing or new products & services to ensure Group’s compliance
• Proactively identify legal risks arising from matters (including projects to be launched) in terms of contractual liabilities and regulatory obligations and recommend business actions to mitigate such risks
• Provide regular reports to Regional Legal and Home Office
• Assist in regional and global projects
• Hands-on Expert advisor on all legal and contractual issues
2. Functioning independently to support all aspects of sophisticated corporate and M&A transactions, typically including cross-jurisdictional issues, including structuring transactions, drafting and negotiating term sheets and letters of intent, conducting and coordinating due diligence, negotiating transactions, drafting agreements, managing closings and post-acquisition integration, and effectively managing external advisers (including establishing and overseeing outside counsel budgets). Will be called upon to identify issues, develop and evaluate alternatives, provide advice and implement solutions in the context of complex and significant transactions;
3. Supporting BOM on a wide range of general corporate matters such as financing and banking transactions, the establishment, maintenance, restructuring and liquidation of business divisions and subsidiaries;
4. Collaborating with finance, treasury, tax and other teams on banking and investment matters, intercompany agreements, cross-border business and tax planning, and internal controls;
5. Be Advisor and secretary to the Board of Members of the Company with responsibilities provided by the Company’s Charter
6. Make sure that all operations and activities undertaken comply with legal & regulatory requirements and Group’s direction

Requirements

• Have at least 10 years of legal experience, M&A Lawyer. In-house Counsel Experience in financial institutions, fin-tech being preferable but not essential.
• Be familiar with local regulations and practices, and possess broad-based knowledge of the regulatory requirements of the financial industry
• Possess the ability to apply entrepreneurial and commercial thinking to provide professional advice in legal context, and be able to present legal advice in simple terms and within business context
• Experience advising on multi-jurisdictional strategic M&A, investments, corporate finance and corporate transactions, including acquisitions, divestitures, corporate reorganizations, joint ventures, equity investments and financings.
• Proven ability to manage fast-paced workload and add value to multiple transactions simultaneously in an autonomous way under deadline pressure while focusing on providing outstanding and timely client service.
• This is a front-line role for a confident, proactive, commercially-minded lawyer with high levels of autonomy and an ability to manage complicated projects.
• Excellent drafting skills and attention to detail are required.
• Possess excellent judgment and decision-making skills – able to make business-aligned and timely decisions
• Strong references required.
• Excellent in command of English
